These Terms of Service (“Terms”) govern your use of Bae-i’s platform and services. By creating an account or using our services, you agree to these Terms.
1. ELIGIBILITY & ACCOUNTS
1.1 Age Requirements
You must be at least 18 years old to use Bae-i. By registering, you confirm you meet this requirement.
1.2 Account Registration

Provide accurate, current information
•
Maintain security of your credentials
•
Notify us immediately of unauthorized access
•
You’re responsible for all account activity
1.3 Account Termination
We may suspend or terminate accounts that:
•
Remain inactive for 12+ months
•
Engage in fraudulent activity
•
Repeatedly violate content guidelines
2. SERVICE DESCRIPTION
Bae-i provides access to AI-powered digital avatars of real people. You purchase tokens to interact with these avatars through:
Avatars use AI to simulate conversations based on the person’s likeness, knowledge, and communication style.
2.1 Session Types
Video Sessions: Full avatar video interactions with real-time lip-synced responses. Charged at the avatar’s per-minute rate.
Voice Sessions: Audio-only interactions without video rendering. Charged at a reduced per-minute rate.
Text Messaging: Text-based conversations with avatars. Each avatar includes a limited number of free messages, after which token charges apply based on a per-message rate.
2.2 AI Processing
Your interactions involve multiple AI systems:

Conversational AI for real-time responses
•
Video/voice generation for avatar rendering
•
Language models for natural conversation
AI-generated responses may be inaccurate or outdated. Avatars are AI representations, not the actual people they depict.
2.3 Creator Content Licensing
Avatar content, personality, and knowledge bases are derived from materials provided by creators under separate Creator Licensing Agreements. Creators:
•
Retain ownership of their original content
•
License their likeness, voice, and content to Bae-i for avatar creation
•
Receive revenue sharing from avatar interactions
•
May terminate their participation, which will result in their avatar being disabled
Bae-i owns the technical implementation of avatars and AI-generated responses. Creator revenue sharing, payout terms, and cost details are governed by the Creator Licensing Agreement. For information about becoming a creator, visit our creator portal.
3. TOKENS & PAYMENTS
3.1 Token Purchase

1 Token = $1.00 USD base price
•
Displayed checkout prices include mandatory platform, provider, and marketplace fees where required by applicable law; taxes may be calculated at checkout
•
All purchases are final and non-refundable
•
New users receive complimentary tokens upon email verification
3.2 Platform Fees
•
Web, iOS, Android, and other channel prices may differ because of payment provider, marketplace, tax, or platform requirements
•
Mandatory fees are included in the displayed price where required; do not rely on a separate approximate marketplace-fee estimate
•
The final checkout screen controls the amount charged before you confirm payment
3.3 Token Usage
•
Session costs vary by service type (video, voice, messaging) and are displayed before each session begins
•
Video and voice sessions are charged based on duration and the avatar’s per-minute rate
•
Text messaging includes a free tier per avatar, after which messages are charged at the avatar’s messaging rate
•
Unused tokens expire per the terms disclosed at time of purchase
•
Tokens cannot be transferred between accounts
3.4 Auto Top-Up
•
Optional automatic token purchase when balance is low
•
Before activation, we disclose the trigger threshold, charge amount, saved payment method, and that charges continue until disabled
•
You authorize recurring charges only by affirmatively enabling and saving this feature
•
Can be disabled anytime in account settings or the purchase page
•
You’re responsible for maintaining valid payment methods
3.5 Payment Processing
•
Payments processed by Payment Processor, Apple, or Google
•
You agree to their respective terms of service
•
We don’t store full payment card details
•
Disputes should be directed to payment processor
3.6 Nature of Tokens
Bae-i tokens are digital content that provide access to platform services. Tokens:
•
Have NO MONETARY VALUE and cannot be redeemed for cash
•
Are NOT YOUR PROPERTY: they represent a limited license to access services
•
Cannot be sold, traded, transferred, or exchanged outside the platform
•
May be revoked for Terms violations without refund
•
Do not constitute a stored value account, bank account, or payment instrument
•
Are not protected by any deposit insurance or government guarantee
Upon account termination, all unused tokens are forfeited without compensation unless termination was without cause by Bae-i.
3.7 Refund Policy
Our Refund Policy is incorporated into these Terms and governs token purchase, subscription, auto top-up, and session-dispute refund requests.
Each purchase is governed by the Refund Policy in effect at the time of that purchase. Future changes to the Refund Policy apply prospectively to later purchases and ongoing platform use, unless applicable law requires otherwise.
4. USER CONDUCT
4.1 Acceptable Use

Harass, abuse, or harm avatars or other users
•
Attempt to extract personal information about the real person
•
Record, reproduce, or distribute avatar interactions
•
Use avatars for illegal or unauthorized purposes
•
Reverse engineer or hack our systems
•
Create multiple accounts to exploit promotions
•
Impersonate others or misrepresent affiliations
4.2 Content Guidelines
During avatar interactions, you must not:
•
Request or encourage illegal activities
•
Engage in sexually explicit conversations
•
Promote violence, hate speech, or discrimination
•
Share personal information of others
•
Attempt to “break” or manipulate the AI
4.3 Enforcement
Violations may result in:
•
Warning or content removal
•
Forfeiture of unused tokens
•
Legal action for severe violations
5. INTELLECTUAL PROPERTY
5.1 Bae-i Property

The Bae-i platform and technology
•
Avatar implementation and AI systems
•
Our trademarks, logos, and branding
•
Aggregated or de identified usage data and analytics, where not reasonably linkable to an individual
5.2 User Content
•
You retain rights to content you create
•
You grant us license to use your content for service operation
•
Avatar responses are owned by Bae-i and the avatar creator
•
You may not claim ownership of AI-generated content
5.3 Restrictions
•
Copy, modify, or distribute our software
•
Create derivative works from avatar interactions
•
Use our trademarks without permission
•
Scrape or data mine our platform
6. PRIVACY & DATA
6.1 Data Collection
We collect and process data as described in our Privacy Policy, including:

•
Conversations are recorded and transcripts are stored to provide the service
•
Conversation memory accumulates across sessions with the same avatar
•
Anonymized conversation data may be used to improve our AI systems (see Section 6.3)
•
You may request deletion of conversation history (see Privacy Policy)
•
Personal information shared in conversations is at your risk
•
We implement reasonable security but cannot guarantee absolute protection
6.3 AI Training Use
Your interactions may be used to improve Bae-i’s AI systems, including safety classifiers, quality scoring, and general conversational improvements. You may opt out of AI training use by contacting legal@baei.ai or using the request methods described in the Privacy Center. Regardless of your opt-out choice, we may still use your data for safety, abuse prevention, legal compliance, and essential operational purposes.

7. DISCLAIMERS & LIMITATIONS
7.1 Service Availability

We strive for 99% uptime but don’t guarantee uninterrupted access
•
Services may be modified or discontinued with notice
•
Technical issues may affect avatar quality or availability
7.2 Avatar Accuracy
•
Avatars are AI simulations, not the real person
•
Responses may not reflect current views or be 100% accurate
•
We’re not responsible for avatar statements or advice
•
Avatar knowledge may be outdated or incomplete
7.3 No Professional Advice
Avatar interactions don’t constitute:
•
Medical, legal, or financial advice
•
Therapeutic or counseling services
•
Official statements from the represented person
•
Endorsements or guarantees
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
•
OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE LAST 3 MONTHS
•
WE’RE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES
•
WE’RE NOT RESPONSIBLE FOR THIRD-PARTY ACTIONS OR CONTENT
7.5 AI Training Limitations
•
Conversations may be used to improve AI systems (subject to your opt-out rights in Section 6.3)
•
AI models trained on aggregate platform data cannot selectively “unlearn” specific user data after training
•
If you delete your account or conversation history, data already incorporated into trained shared models cannot be removed, though we will cease using your data for future training
•
This is a technical limitation of current AI technology that applies industry-wide
•
Your identifiable data is always deleted from our databases upon request

8. INDEMNIFICATION
You agree to defend and hold Bae-i harmless from claims arising from:

Your violation of these Terms
•
Content you share with avatars
•
Violation of any rights of another
•
Your violation of applicable laws
9. DISPUTES & GOVERNING LAW
9.1 Governing Law
These Terms are governed by Delaware law, without regard to conflict of law principles.
9.2 Arbitration
Most disputes must be resolved through binding arbitration, not courts. You waive rights to jury trials and class actions.
9.3 Exceptions
You may bring claims in small claims court. Injunctive relief may be sought in courts for intellectual property violations.
10. CHANGES & COMMUNICATIONS
10.1 Term Updates

We may update these Terms with 30 days’ notice
•
Continued use after updates constitutes acceptance
•
Material changes will be prominently announced
•
Changes that affect completed token or subscription purchases do not retroactively alter the refund terms that applied at the time of purchase unless applicable law requires otherwise
10.2 Communications
•
We’ll communicate via email to your registered address
•
You consent to electronic communications
•
Keep your email current and check it regularly
•
We may also provide notice through in-app messages, account notices, or website announcements
11. MISCELLANEOUS
11.1 Entire Agreement
These Terms, plus our Privacy Policy and other posted policies, constitute the entire agreement.
11.2 Severability
If any provision is unenforceable, the rest remains valid.
11.3 No Waiver
Our failure to enforce rights doesn’t waive them.
11.4 Assignment
We may assign these Terms. You may not without our consent.
11.5 Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
